1. Acceptance of Terms

By downloading, installing, or using Cardiolytics ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and Based Solutions LLC ("we," "us," or "our").

2. Description of Service

Cardiolytics is a fitness tracking application that integrates with Apple Health to display and analyze your VO2 Max data, fitness age, and workout information. The App offers both free features and optional premium features available through subscription.

3. Apple Health Integration

The App requires access to Apple Health data to function properly. By granting the App permission to read your health data, you acknowledge that:

• The App will access only the data you explicitly authorize (VO2 Max, age, workout data)
• All data remains stored locally on your device
• You can revoke access at any time through iOS Settings
• The accuracy of the App depends on the accuracy of data in Apple Health

4. Subscriptions and Payment

4.1 Subscription Plans

Cardiolytics offers the following premium subscription options:

• Monthly Subscription: Billed monthly at the current price displayed in the App
• Yearly Subscription: Billed annually at the current price displayed in the App

4.2 Free Trial

Some subscription plans may include a free trial period. If you do not cancel before the end of the trial period, you will automatically be charged for the subscription. Free trials are available only once per user and are subject to eligibility verification through Apple's App Store.

4.3 Payment Processing

All purchases and subscriptions are processed through Apple's App Store. Payment will be charged to your Apple ID account at confirmation of purchase. Your subscription will automatically renew unless you cancel at least 24 hours before the end of the current period.

4.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect existing subscriptions until renewal. You will be notified of any price changes in advance through the App Store.

4.5 Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation will take effect at the end of the current billing period. No partial refunds will be provided for unused portions of a subscription period.

4.6 Refunds

All sales are final. Refund requests must be submitted directly to Apple through the App Store, as we do not have access to your payment information or the ability to process refunds. Apple's refund policy will apply.

5. User Obligations

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms
• Not attempt to reverse engineer, decompile, or disassemble the App
• Not use the App in any way that could damage, disable, or impair the App
• Not share your subscription access with others
• Maintain the security of your Apple ID account

6. Medical Disclaimer

IMPORTANT: Cardiolytics is intended for informational and fitness tracking purposes only. The App is not a medical device and should not be used for medical diagnosis, treatment, or monitoring of medical conditions.

• Always consult with a qualified healthcare provider before making health-related decisions
• Do not rely solely on the App for medical advice or health assessments
• The App's calculations and insights are estimates and may not be accurate
• VO2 Max and fitness age data are approximations based on Apple Health data
• We are not responsible for any health decisions you make based on information from the App

7. Intellectual Property

The App, including all content, features, and functionality, is owned by Based Solutions LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

8. Privacy

Your use of the App is also governed by our Privacy Policy, available at https://basedsolutions.com/cardiolytics-privacy-policy.html. By using the App, you consent to the practices described in the Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASED SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any bugs, viruses, or other harmful code that may be transmitted to or through the App
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the App
• Health decisions made based on information from the App

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Based Solutions LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the App or violation of these Terms.

12. Changes to the App

We reserve the right to modify, suspend, or discontinue the App or any features at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

13. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. Your continued use of the App after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App and cancel your subscription through your Apple ID settings.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Florida, and you consent to personal jurisdiction in such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Based Solutions LLC regarding the use of the App and supersede all prior agreements and understandings, whether written or oral.

19. Apple-Specific Terms

These terms apply to your use of the App obtained through the Apple App Store:

• These Terms are between you and Based Solutions LLC only, not with Apple Inc.
• Apple has no obligation to provide maintenance or support services for the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App
• Apple is not responsible for addressing any claims relating to the App or your use of it
• Apple is a third-party beneficiary of these Terms and may enforce these Terms against you
